Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Matcha Square platform, website, and services (collectively, the "Platform") operated by Matcha Square LLC ("we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms.

1. The Platform

Matcha Square is a business-to-business wholesale marketplace that connects Japanese matcha suppliers ("Suppliers") with wholesale buyers such as cafes, restaurants, and retailers ("Buyers"). The Platform facilitates product discovery, communication, sample distribution, ordering, and payment processing between Suppliers and Buyers.

We are a marketplace facilitator. We do not manufacture, store (except for samples in transit), or sell matcha products ourselves. All transactions are between Suppliers and Buyers, with Matcha Square acting as the technology and payment intermediary.

2. Eligibility

The Platform is intended for use by businesses and authorized representatives of businesses. By creating an account, you represent that you are at least 18 years of age, are authorized to bind the business entity you represent, and that such entity is duly organized and in good standing under the laws of its jurisdiction.

3. Accounts

You must create an account to use certain features of the Platform. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information as needed.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or remain inactive for an extended period.

4. Supplier Terms

4.1 Product Listings

Suppliers are solely responsible for the accuracy of their product listings, including descriptions, images, pricing, and availability. Suppliers represent that all products listed comply with applicable food safety regulations and import/export laws.

4.2 Supplier Portals

Suppliers may use the Platform's portal features to create private storefronts with custom pricing for specific Buyers. Pricing, product selection, and collection configurations within portals are set at the Supplier's sole discretion.

4.3 Fulfillment

Suppliers are responsible for fulfilling orders in accordance with the terms displayed at the time of purchase, including shipping timelines, product specifications, and quantity commitments. Matcha Square is not responsible for Supplier fulfillment failures.

4.4 Stripe Connect

Suppliers must maintain an active Stripe Connect account to receive payments through the Platform. Supplier use of Stripe is subject to the Stripe Connected Account Agreement and Stripe Terms of Service. Matcha Square is not responsible for Stripe account issues, holds, or delays.

5. Buyer Terms

5.1 Orders and Payment

Buyers agree to pay for all orders placed through the Platform, including applicable taxes and shipping fees. Payment is processed via Stripe at the time of order placement or via payment links sent by Suppliers.

5.2 Samples

Matcha Square may facilitate the distribution of product samples. Sample availability, terms, and pricing (if any) are determined at our discretion or in coordination with Suppliers.

5.3 Wholesale Relationship

Buyers acknowledge that pricing on the Platform reflects wholesale terms and may differ from retail pricing. Minimum order quantities and pricing tiers are set by individual Suppliers.

6. Platform Fees

Matcha Square charges a platform fee on transactions processed through the Platform. The current fee structure is disclosed to Suppliers during onboarding and may be updated with reasonable notice. Platform fees are deducted from transaction proceeds before remittance to the Supplier.

7. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations.
  • Misrepresent your identity, business affiliation, or the nature of your products.
  • Interfere with or disrupt the Platform's infrastructure or other users' access.
  • Circumvent Platform payment processing to avoid fees.
  • Scrape, harvest, or collect data from the Platform without authorization.
  • Resell access to the Platform or its features.
  • Post misleading, fraudulent, or deceptive product listings.

8. Intellectual Property

All content, features, and functionality of the Platform (including design, code, logos, and trademarks) are owned by Matcha Square and protected by applicable intellectual property laws. See our IP Policy for more details.

By uploading content to the Platform (product images, descriptions, logos), you grant Matcha Square a non-exclusive, worldwide, royalty-free license to display and distribute that content as reasonably necessary to operate the Platform and promote your products.

9. Messaging

The Platform includes messaging features to facilitate communication between Suppliers and Buyers. Messages sent through the Platform may be monitored for quality assurance, fraud prevention, and compliance with these Terms. You agree not to use Platform messaging for spam, harassment, or communications unrelated to legitimate business activity on the Platform.

10. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee the quality, safety, legality, or availability of any products listed on the Platform. We do not guarantee uninterrupted or error-free access to the Platform.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATCHA SQUARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO MATCHA SQUARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Matcha Square, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

13. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration administered under the rules of the American Arbitration Association, conducted in Los Angeles County, California. Each party shall bear its own costs. You agree to waive any right to a jury trial or to participate in a class action.

14. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or Platform notification at least 30 days before taking effect. Continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.

15. Termination

Either party may terminate their account at any time. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, outstanding payment obligations and sections intended to survive (including Sections 10, 11, 12, and 13) shall remain in effect.

16. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles.
